Orders placed with Qdex Ltd are subject to the following terms and conditions.
Your statutory rights are in no way affected by these conditions.
General
1. The seller refers to Qdex-tech a division of Qdex Ltd.
2. The buyer is any person or organisation placing an order for goods accepted by the seller.
3. Goods refers to any products supplied to the buyer.
4. No variation to these terms and conditions will be effective unless agreed by the seller in writing to the buyer.
5. No representative of the seller is authorised to make representations of goods on the sellers behalf unless confirmed in writing to the seller by the buyer in writing.
6. No contract for sale of the goods arises until despatch of the goods by the seller to the buyer, unless the buyer has provided acceptance in writing to the seller.
7. The seller may correct without any liability on the sellers part any errors or omissions made by the seller in sales literature, price lists, letters, quotations, emails or any other documents issued by the seller.
8. Once the buyer has accepted delivery of goods, this acceptance will be taken as acceptance of these conditions.
9. All prices will be as per the sellers current price list unless agreed in writing by the seller with the buyer.
10. All prices are exclusive of VAT
Payment
11. Where no credit count has been agreed with the buyer, payment must be made in full by the buyer before despatch of the goods.
12. Credit accounts will be considered at the sellers discretion and subject to satisfactory references for which we may use an outside credit agency.
13. Payment can be made by cheque, bank transfer or debit/ credit card
14. Credit accounts which become overdue for payment will incur interest at 2% above the National Westminster Bank Plc base rate. Interest is calculated on a daily basis from the day payment became due until the date payment is received.
15. Title of the goods will remain with the seller until the invoice for the goods is paid in full.
16. The buyer will hold the goods as the sellers fiduciary agent until title to the goods passes to the buyer. The buyer undertakes to store, protect and identify the goods as the sellers property until title to the goods passes to the buyer.
17. Whilst the invoice for any goods delivered to the buyer remains overdue and unpaid either in full or in part, the seller may without prejudice to any of its other rights recover the goods and may itself or via its agents enter the buyers premises in order to do this.
Shipping
18. The seller will take all reasonable steps to despatch within estimated delivery times but does not guarantee delivery dates. No liability will be accepted by the seller for consequential losses arising from the sellers failure to meet a delivery date.
19. Delivery will be made to the buyers specified delivery address and delivery may take place up until 6.00pm.
20. The buyer will make arrangements to accept delivery at the buyers specified delivery address.
21. The seller may despatch the goods using any method the seller chooses.
Cancellations and return of goods
22. No contract may be cancelled once accepted by the seller and no non-defective goods returned save at the absolute discretion of the seller.
23. Should the seller accept the return of non-defective goods return will be subject to the following conditions
23.1. The goods will be returned in the original manufacturers packaging, unopened and complete with all manuals and accessories.
23.2. Returns for software must have the software seal in tact
23.3. The seller reserves the right to charge a handling fee of 20% of the net invoice amount.
24. Any defects in goods supplied by the seller should be notified to the seller within fourteen days of the date of delivery.
25. Should a valid claim be notified to the seller in respect of defective goods the seller may replace the goods free of charge or refund the buyer the full price of the goods an d the seller shall have no further liability to the buyer.
26. The buyer will retain defective goods together with the manufacturers original packaging for a reasonable time in order to allow collection of the goods by the seller.
27. Unless agreed in writing no credit for the return of non-defective goods will be given.
